Allgemeine Geschäftsbedingungen - General Terms and Conditions
1. Scope
These General Terms and Conditions (GTC) apply to all contracts between coreIntelligence (owned and operated by Léon Zehnder, hereinafter "coreIntelligence") and its customers. coreIntelligence provides an AI agent platform for the financial industry, including platform deployment, system integration, AI agent configuration, pilot projects, workshops, and ongoing support. These GTC are directed exclusively at businesses.
2. Conclusion of Contract
A contract between coreIntelligence and the customer is concluded as soon as the customer confirms in writing (e.g., by email) an offer submitted by coreIntelligence. Amendments and additions to the contract must be made in writing.
3. Validity of Offers
Offers prepared by coreIntelligence are valid for 15 days from the date of issue. After this period expires, coreIntelligence may adjust the terms and issue a new offer.
4. Services
Platform License
coreIntelligence provides access to its AI agent platform, which may include: Portfolio Assistant Agent, Earnings Call Agent, KYC Agent, Daily Briefing Agent, and other agents as agreed. The platform connects to the customer's existing systems (PMS, email, SharePoint, and others) via integration connectors.
Pilot Projects
Pilot projects are time-limited engagements (typically 2–4 weeks) during which a defined set of agents is deployed for a limited number of users. Pilot fees are credited toward the setup fee if the customer proceeds to a full deployment.
Setup and Integration
Setup includes deployment of the platform on the customer's infrastructure, configuration of system connectors, data mapping, and user onboarding. The scope and pricing of setup services are defined in the offer.
Workshops
Workshops are structured sessions to map customer workflows, identify use cases, and define implementation scope. Workshop fees are credited toward subsequent project fees if the customer proceeds.
5. Prices and Payment Terms
Prices: coreIntelligence's services are provided at flat rates, monthly license fees, or a combination thereof, as defined in the offer.
Payment deadlines: Invoices are to be settled within 30 days of invoicing, unless otherwise agreed in the offer.
Additional work: Requirements, changes, or further requests not originally planned are placed on a backlog, separately quoted, and only carried out after written confirmation.
Monthly license fees: Platform license fees are billed monthly in advance. The first month is billed upon completion of the setup phase.
Pilot fee credit: Pilot project fees are credited toward the setup fee if the customer proceeds to a full deployment within 60 days of pilot completion.
6. Payment Conditions
Discounts: coreIntelligence does not grant discounts on the prices stated in the offer. No cash discount (Skonto) is offered.
Late payment: coreIntelligence reserves the right to charge a reminder fee of 5% of the invoice amount per 30 days that an invoice is overdue.
Value-added tax: All prices stated in offers are net prices. Statutory value-added tax (VAT) is added where applicable.
7. Deployment and Infrastructure
Customer-Hosted Deployment
The platform is deployed on the customer's own infrastructure (typically their Azure tenant). The customer owns the infrastructure, the data, and the configuration. coreIntelligence assists with deployment and ongoing management but does not have access to customer data unless explicitly granted for support purposes.
coreIntelligence-Hosted Deployment
Alternatively, coreIntelligence can host and manage the platform on its own Swiss infrastructure with dedicated, isolated resources per customer. Data residency remains in Switzerland.
Customer Responsibility
Regardless of deployment model, the customer is responsible for providing and maintaining the underlying infrastructure (compute, storage, network), granting necessary access to source systems, and ensuring their own compliance with applicable regulations.
8. Data Processing and Data Residency
Principle: All customer data is processed in accordance with the Swiss Federal Act on Data Protection (DSG) and, where applicable, the EU GDPR.
Data residency: Customer data never leaves Switzerland. All AI models used by the platform are hosted on Swiss infrastructure or within the customer's own environment.
No data retention: coreIntelligence does not store, retain, or access customer portfolio data, client data, or financial transaction data. All data processing occurs within the customer's environment.
No model training: Customer data is never used to train AI models, whether by coreIntelligence or by third-party model providers.
Source system access: The platform accesses customer source systems (PMS, email, etc.) in read-only mode unless write access is explicitly agreed for specific functions (e.g., email sending). All write actions require explicit user confirmation (human-in-the-loop).
Audit trail: All platform interactions are logged with timestamp, user identity, and action performed. Logs are stored within the customer's environment and are accessible to the customer at all times.
9. AI-Specific Terms
Nature of AI outputs: All outputs generated by the platform's AI agents are informational and do not constitute investment advice, legal advice, tax advice, or any form of regulated financial recommendation. The platform is a decision-support tool for licensed financial professionals.
Data accuracy: The accuracy of AI outputs depends on the quality and completeness of data in the customer's source systems (PMS, documents, etc.). coreIntelligence is not responsible for inaccuracies in source data.
Human-in-the-loop: All actions that produce client-facing outputs (emails, documents, reports) require explicit user review and approval before execution. The platform does not autonomously communicate with end clients.
Model selection: The specific AI models used by the platform may change over time as better models become available. coreIntelligence will inform the customer of material changes to the model stack.
10. Project Pauses and Termination
If a project is paused for more than three months due to a lack of cooperation or availability on the part of the customer, coreIntelligence reserves the right to terminate the project. Services already rendered will be invoiced in full.
The customer may terminate the platform license with 30 days written notice at the end of any calendar month.
Upon termination, the customer retains full ownership of their infrastructure, data, configuration, and any custom work delivered. coreIntelligence will provide reasonable transition support.
11. Technical Obstacles
Should a planned integration or function prove technically unfeasible and no alternative solution can be found, the customer has the right to terminate the affected project component with immediate effect. Work incurred up to that point will be invoiced.
12. Support
Standard support: Included in the monthly platform license. Covers bug fixes, configuration adjustments, and general usage questions during business hours.
Additional work: Work beyond the scope of standard support (custom agent development, new integrations, workflow changes) is quoted separately and invoiced at an hourly rate of CHF 200 (plus VAT), unless otherwise agreed.
13. Intellectual Property and Rights of Use
Platform: The intellectual property in the coreIntelligence platform, including all agents, integration connectors, and underlying technology, remains with coreIntelligence.
Customer data and configuration: All customer data, agent configurations, custom prompts, and workflow definitions created for or by the customer remain the customer's property.
Right of use: The customer receives a non-exclusive right to use the platform for the duration of the contract. Upon full payment of all invoices, any custom-developed components (custom agents, integrations) are licensed to the customer for continued use, even after contract termination.
Portability: Upon termination, the customer retains all data, configurations, and custom work on their own infrastructure. The platform's standard components (agents, connectors) revert to coreIntelligence.
14. Confidentiality
coreIntelligence undertakes to treat all information and data of the customer obtained in the course of the collaboration as strictly confidential and not to disclose it to third parties, except where this is necessary for the performance of the contract.
The customer agrees to treat the technical details of the coreIntelligence platform, including architecture, prompts, and integration methods, as confidential.
15. Liability and Warranty
coreIntelligence assumes no liability for indirect damages, lost profits, or the business success (ROI) of a deployed solution.
coreIntelligence assumes no liability for investment decisions made based on AI-generated outputs. The platform supports decision-making but does not replace professional judgment.
coreIntelligence assumes no liability for third-party software, AI models, or cloud infrastructure, even where these were recommended or deployed by coreIntelligence.
coreIntelligence's total liability under any contract shall not exceed the total fees paid by the customer in the twelve months preceding the claim.
16. Reference and Marketing
coreIntelligence may reference the customer as a client in general terms (e.g., "a Swiss wealth manager with CHF X billion AuM") unless the customer explicitly objects in writing. Named references (company name, logo, case study) require prior written consent.
17. Applicable Law and Jurisdiction
Swiss law applies. The exclusive place of jurisdiction is Zurich, Switzerland.
18. Severability
Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall not be affected. Invalid provisions shall be replaced by valid provisions that come as close as possible to the intended purpose.
